Terms of Service

1. Introduction

1.1 These Terms of Service ("Terms") govern your access to and use of the Sellmur platform ("Platform"), including all services, features, websites, and applications offered by Sellmur Technologies ("Sellmur," "we," "us," or "our").

1.2 By registering for, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

1.3 If you are accepting these Terms on behalf of a company or legal entity, you represent that you have the authority to bind that entity.

2. Definitions

• Business Owner — The individual or entity that registers for a Sellmur account and holds the primary subscription.
• Staff — Users invited by the Business Owner (Managers, Receptionists).
• End Customer — Individuals who book appointments or purchase products through a Sellmur-powered storefront.
• Subscription — A paid plan granting access to Platform features for a specified billing period.
• Trial Period — The initial 7-day period with full premium features at no cost.

3. Account Registration & Security

3.1 You must provide accurate, current, and complete information during registration and keep your account information updated.

3.2 You are solely responsible for maintaining the confidentiality of your login credentials. All activities under your account, including actions by your staff, are your responsibility.

3.3 You must be at least 18 years of age to use the Platform.

3.4 You must notify us immediately of unauthorized account access. Sellmur is not liable for losses arising from your failure to secure your credentials.

3.5 One individual or entity may not maintain more than one free trial account. We reserve the right to terminate duplicate or fraudulent trial accounts.

4. Subscription, Payments & Billing

4.1 Subscription fees are published on our pricing page and are denominated in Nigerian Naira (₦).

4.2 Billing periods: monthly, quarterly, semi-annual (6 months), and annual. Discounts apply for longer commitments as advertised.

4.3 Payment is due at the start of each billing period. If payment fails, we may suspend access to paid features.

4.4 We reserve the right to modify pricing with thirty (30) days' notice. Changes do not affect your current billing period.

4.5 All fees are non-refundable except as stated in our Refund Policy or required by law.

5. Free Trial

5.1 New businesses receive one (1) fourteen (7) day free trial with full Premium features.

5.2 No debit card is required to start the trial.

5.3 At trial end, you must subscribe to continue using the Platform.

5.4 If you do not subscribe, your account is suspended. Data is preserved for 30 days, then permanently deleted.

6. Acceptable Use

You agree not to use the Platform to:

• 6.1 Violate any laws of Nigeria or your local jurisdiction.
• 6.2 Infringe intellectual property, privacy, or other rights.
• 6.3 Upload or distribute malware, viruses, or harmful code.
• 6.4 Engage in fraud, deception, or operate a storefront without intent to deliver.
• 6.5 Send spam or unsolicited communications through Platform messaging.
• 6.6 Attempt unauthorized access to accounts, systems, or networks.
• 6.7 Resell, sublicense, or lease the Platform to third parties.
• 6.8 Reverse engineer or extract the Platform's source code.

Violation may result in immediate suspension or termination without refund.

7. Storefront & Online Sales

7.1 Sellmur is a platform provider, not a party to transactions between you and your customers.

7.2 You are solely responsible for:

• Accuracy of product listings, descriptions, and pricing.
• Fulfilling orders and delivering as described.
• Handling complaints, refunds, returns, and chargebacks.
• Complying with consumer protection laws.

7.3 We reserve the right to remove listings or suspend storefronts that violate our policies.

8. Intellectual Property

8.1 Sellmur owns all rights to the Platform, including software, design, branding, and content. These Terms grant no ownership rights to you.

8.2 You retain ownership of your data and content. You grant Sellmur a limited license to host and display your content solely to provide the Platform services.

8.3 We may use your business name and logo in marketing. You may opt out in writing.

9. Third-Party Services

9.1 The Platform integrates with third-party services (Paystack, Stripe, SMS gateways, etc.).

9.2 We are not responsible for third-party availability, accuracy, or security. Your use is subject to their respective terms.

9.3 Disputes with third-party providers must be resolved directly with them.

10. Limitation of Liability

10.1 The Platform is provided "as is" without warranties of any kind.

10.2 Sellmur shall not be liable for:

• Indirect, incidental, or consequential damages.
• Loss of profits, revenue, data, or business.
• Service interruptions, errors, or downtime.
• Actions by your staff within their permissions.
• Unauthorized access due to your failure to secure credentials.
• Disputes between you and your end customers.

10.3 Our total liability is limited to fees paid by you in the three (3) months preceding the claim.

11. Termination

11.1 You may cancel anytime through account settings. Cancellation takes effect at the end of your current billing period.

11.2 We may suspend or terminate your account for:

• Violation of these Terms or Acceptable Use Policy.
• Fraudulent or illegal activity.
• Non-payment of subscription fees.

11.3 Upon termination, data is retained 30 days for export, then permanently deleted.

12. Dispute Resolution

12.1 These Terms are governed by Nigerian law.

12.2 Disputes shall first be resolved through good-faith negotiation, then mediation if needed.

12.3 If mediation fails, disputes shall be subject to the courts of Lagos State, Nigeria.

13. Changes to These Terms

13.1 We may modify these Terms with notice via email or Platform notification.

13.2 Continued use after changes constitutes acceptance.

13.3 If you disagree with changes, you must stop using the Platform and cancel your account.
